1. Website Owner

This website is owned and operated by Vincent Vanynh, based in Calgary, Alberta, Canada.

References to “I,” “me,” “my,” “the website,” “this website,” or “vanynh.com” refer to Vincent Vanynh and this website unless the context clearly indicates otherwise.

2. Website Purpose

Vanynh.com provides information about my professional background, consulting and advisory work, selected projects, Human-Centred AI Transformation practice, tools, resources, checklists, templates, digital materials, and related services.

The website is intended for general informational, educational, professional, and commercial purposes. It may provide access to free or paid resources, downloadable materials, consulting offers, reviews, toolkits, or digital products.

3. No Professional Advice

Website content—including tools, checklists, templates, PDFs, workbooks, reports, articles, examples, case studies, frameworks, scorecards, and other resources—is provided for general informational and educational purposes only.

Nothing on the website is legal, financial, tax, accounting, human-resources, investment, technical, cybersecurity, privacy, procurement, regulatory, compliance, safety-engineering, or other regulated professional advice. Obtain appropriate specialist advice for your circumstances.

Use of the website does not create a consultant-client, advisor-client, professional, fiduciary, employment, agency, partnership, or other formal relationship unless a separate written agreement is signed.

4. Consulting and Advisory Services

Information about consulting, advisory, project-based work, fractional support, workshops, reviews, pilot support, or related services is general information only. Availability, scope, timing, pricing, deliverables, and terms are subject to discussion and written agreement.

No engagement is created by visiting the website, submitting a form, downloading a resource, purchasing a product, or communicating through the website. Consulting work is governed by a separate written agreement.

5. Tools, Resources, Templates, and Downloads

The website provides free and paid tools, templates, checklists, PDFs, workbooks, prompts, guides, frameworks, examples, scorecards, and other resources intended to support business, transformation, governance, Human Control, workflow design, execution, documentation, opportunity assessment, pilot planning, and adoption decisions.

Resources may not fit your circumstances, industry, organization, legal obligations, technology environment, governance structure, risk profile, or operating needs. You are responsible for reviewing, adapting, validating, and using them appropriately.

6. Digital Products and Purchases

Product descriptions, pricing, delivery methods, access terms, licence terms, and refund statements may be displayed on the website, Payhip product page, checkout page, or within purchased files.

Purchasing or downloading a digital product does not transfer ownership of the underlying intellectual property. Rights are limited to the licence granted for that product.

You may not resell, redistribute, publicly post, share, sublicense, upload, copy for distribution, reproduce for resale, white-label, or commercially exploit a product except where expressly permitted by its licence or written authorization.

7. Product-Specific Licences

Certain products are offered under a Standard Organizational Licence, Consultant and Facilitator Licence, individual-use licence, or another licence stated on the product page, checkout page, or within the purchased files.

The product-specific Licence and Use Terms form part of the purchase terms. If there is a conflict between these general website Terms of Use and product-specific licence terms, the product-specific terms govern the permitted use of that product.

A licence for internal organizational use does not permit use of blank toolkit files in paid external client engagements unless the licence expressly says so. A consultant or facilitator licence does not permit redistribution of blank files, resale, sublicensing, or white-labelling unless expressly stated.

8. File Formats and Compatibility

Digital products may include DOCX, XLSX, PDF, ZIP, or other file formats. Microsoft Word and Microsoft Excel may be recommended for full functionality.

Compatibility, appearance, formulas, validation, automation, macros, fields, or formatting may vary in other software, browser-based editors, operating systems, or versions. Product descriptions identify the principal formats provided, but I do not guarantee identical functionality in every application.

9. Electronic Delivery and Refunds

Digital products are delivered electronically and may be accessible immediately after purchase through Payhip or another disclosed delivery service.

Because digital files are delivered immediately, purchases are generally non-refundable once files have been accessed or downloaded, except where required by applicable law, where a product-specific checkout policy provides otherwise, or where files are materially defective and cannot reasonably be replaced.

If you experience a technical issue accessing files or accidentally purchase the same product twice, contact me within seven days so the issue can be reviewed. Any product-specific refund statement displayed at checkout also applies. These terms should not be interpreted more strictly than the actual Payhip store policy or applicable law.

10. Permitted Use

You may use the website and content for lawful personal, professional, internal business, or informational purposes, subject to these terms and any product-specific licence.

You agree not to:

  • Violate applicable law, regulation, or third-party rights.
  • Interfere with the operation, security, or integrity of the website.
  • Attempt unauthorized access to the website, hosting environment, forms, data, systems, or accounts.
  • Scrape, harvest, copy, or extract content at scale without permission.
  • Use bots or scripts in a way that burdens or disrupts the website.
  • Submit spam, malicious code, false information, abusive content, or unlawful material.
  • Misrepresent identity, affiliation, organization, or purpose.
  • Copy, republish, resell, redistribute, or exploit website content or products without permission.

11. Intellectual Property

Unless otherwise stated, website content is owned by or licensed to Vincent Vanynh. This includes text, page layouts, copy, tools, methods, frameworks, checklists, templates, reports, PDFs, workbooks, graphics, branding, images, downloads, prompts, scorecards, product structures, and other materials.

The Vincent Vanynh name, visual identity, brand elements, Human Control methodology materials, and related content may not be copied, reproduced, modified, distributed, displayed, or exploited except as allowed by law, a product licence, or written permission.

You may link to public pages in a fair and non-misleading manner provided you do not imply endorsement, sponsorship, partnership, or affiliation.

12. User-Submitted Information

If you submit information through the website, you are responsible for ensuring you have the right to provide it. Do not submit confidential, proprietary, regulated, sensitive, personal, or third-party information unless necessary and appropriate.

Submitting information does not by itself create a confidential, consultant-client, or advisor-client relationship. Suggestions, ideas, feedback, or resource requests may be used to improve the website, tools, products, services, or content unless otherwise agreed in writing.

13. AI-Assisted Tools, Human Control, and Outputs

The website may provide or reference AI-assisted prompts, tools, workflows, summaries, scorecards, decision aids, workflow-design materials, pilot-planning resources, or outputs. These support structured business decisions but are not complete, final, guaranteed, or context-specific advice.

Tools related to Human Control, AI workflow design, opportunity readiness, pilot planning, or adoption do not certify that an AI system is safe, lawful, secure, unbiased, compliant, accurate, or suitable for a particular regulated or consequential use.

Users are responsible for appropriate legal, privacy, cybersecurity, regulatory, technical, procurement, safety, employment, accessibility, records-management, and professional review. You are also responsible for reviewing, validating, editing, monitoring, and applying AI-assisted outputs before relying on them.

Do not submit confidential, sensitive, regulated, proprietary, or personal information into an AI tool unless you understand the risks, have authority to do so, and have appropriate safeguards.

14. Third-Party Links and Services

The website may link to third-party websites, tools, storefronts, payment processors, social-media profiles, embedded content, and other services. These links are provided for convenience.

I do not control and am not responsible for third-party content, policies, security, products, availability, practices, or terms. Use of third-party services is at your own risk and may be governed by their own terms and policies.

15. Website Availability and Changes

I may update, modify, remove, restrict, suspend, or discontinue any part of the website, products, resources, offers, pages, pricing, or content at any time.

I do not guarantee that the website will be uninterrupted, secure, error-free, current, complete, or available at all times.

16. Disclaimer of Warranties

The website and all content, resources, products, tools, templates, and materials are provided “as is” and “as available,” without warranties or representations of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, I disclaim warranties of accuracy, completeness, reliability, fitness for a particular purpose, merchantability, non-infringement, availability, security, and suitability.

17. Limitation of Liability

To the fullest extent permitted by law, Vincent Vanynh will not be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or other damages arising from or related to use of the website, resources, tools, products, downloads, or content.

This includes loss related to business interruption, revenue, profits, data, opportunity, reliance on content, implementation decisions, project outcomes, technology issues, compliance issues, security incidents, or other impacts. Some jurisdictions do not permit certain limitations, so portions may not apply.

18. Indemnity

You agree to indemnify and hold harmless Vincent Vanynh from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from misuse of the website, breach of these terms, misuse of a product or resource, or violation of law or third-party rights.

19. Privacy

Use of the website is also governed by the Privacy Policy, which explains how personal information may be collected, used, disclosed, stored, and protected.

20. Governing Law

These Terms of Use are governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict-of-law principles.

Disputes related to these terms, the website, or use of website content will be handled in the courts or appropriate dispute forum located in Alberta unless applicable law requires otherwise.

21. Changes and Contact

I may update these terms from time to time. The revised version will be posted on this page with an updated date. Continued use after changes are posted means you accept the revised terms.

Questions can be submitted through the Contact page.
